The background looks horrid. Never use the render clouds effect unless you can make it look good. The render looks like it doesn't belong with the background... Make sure to use company logo's next time, like "Rocksteady". And make sure not to leak the render through the template. If this was made in Photoshop, or Gimp, it should be better than this. Nice attempt at a box, for your first.

The concept is good but honestly it doesn't look as though you spent a lot of time on this. I'd recommend posting your next box in the 'WIP' forum to gain some feedback. I'd also look around at some tutorials on the website and gather a feel of what a box requires such as publisher and developer logos.
Like DemonFoxSlayer has said, render clouds aren't really an appropriate background, that's not to say you shouldn't use them. When used correctly they can completely change the way a cover looks.
I'd also look into creating backs, that instantly adds to a cover and will gain more attention then just a front cover.
I'd make sure to try to get a grasp of the Photoshop features before diving into something like creating box art.
